Product and Professional Disclaimers

Effective October 17, 2026 · Version 2026-10-17

These disclaimers are part of our Terms of Service and Subscription Agreement. The Akea AI Suite is a software tool. You, and the company you work for, remain responsible for every decision and every filing.

No professional advice

Akea HMS LLC is not a CPA firm, tax preparer, payroll provider, professional employer organization, law firm, bank, money transmitter, investment adviser, broker-dealer or insurance agency. Nothing in the Services, our emails, our support or our website is accounting, tax, legal, employment, investment, insurance or financial advice. Consult qualified professionals licensed in your state.

Accounting and financial reports

Books, journal entries, financial statements, reports, budgets and forecasts are prepared from the information you enter or connect, using the rules you configure. They are not audited, reviewed or compiled by a CPA, may not follow generally accepted accounting principles in every respect, and should be reviewed by your accountant before being used for tax returns, lender reporting, investor reporting or any other purpose. You are responsible for your books of account and for keeping records as the IRS and your state require.

Banking, bill pay and checks

The Services do not hold, move or transmit money. Payments recorded in the Services are records only; payments are made by you through your bank. Bank data from statements or bank-data providers can be delayed, incomplete or wrong; reconcile it to your bank statements. Checks are printed by you on your own check stock; you are responsible for verifying the payee, amount and date before signing, for signing, for securing blank check stock, for using your bank's fraud-prevention services such as Positive Pay, and for reviewing your bank statements promptly. Akea is not responsible for losses from forged, altered, duplicated, lost or misprinted checks or from unauthorized payments.

Time clock, scheduling and payroll hours

The time clock records the times punched; it does not round, and it does not deduct meal breaks automatically. Edits require a reason and are logged with the original times; records cannot be deleted. Overtime estimates follow the federal 40-hour workweek (Monday to Sunday) and the daily overtime rules of California, Alaska and Colorado. They do not calculate meal-and-rest-break premiums, the regular rate of pay including bonuses, shift differentials or tips, local ordinances, predictive-scheduling rules, minor-labor limits, or other state-specific rules. Pay figures are estimates for review, not payroll. The Services do not withhold, pay or file taxes or wages. You are responsible for classifying employees as exempt or non-exempt, paying all wages owed, giving required notices and breaks, and keeping records under the Fair Labor Standards Act and state law.

Employee and personnel information

You decide what employee information to enter and who can see it. Do not enter Social Security numbers, medical information, immigration documents, background-check results or other sensitive personnel records. The Services are not a system for hiring decisions, Form I-9 compliance or benefits administration.

Refunds and guest matters

Refund requests in the Services are an internal approval workflow. Refunds themselves are issued by you through your property-management, payment or banking systems. You are responsible for card-network rules, consumer-protection laws and guest communications.

Investor and capital information

Investor portals, capital-account, distribution and performance information are provided for information only, are unaudited, and may be estimates. They are not an offer to sell or a solicitation of an offer to buy any security, and they are not investment advice. Past performance does not predict future results. You are responsible for compliance with federal and state securities laws in any communication with investors or lenders. Personal financial statements are visible only to their owner and are prepared from the information the owner enters.

Market data (STR and others)

Market and competitive-set data is provided by third parties, such as STR, under your company's own license. It may be delayed, revised or inaccurate, it is confidential under that license, and it must not be shared outside the people your license allows. Akea makes no warranty about third-party data.

Artificial intelligence

The AI assistant uses machine-learning models that can be wrong, incomplete or out of date, even when they sound confident. Automatic reading of uploaded reports can also misread figures. Check AI-generated answers and extracted numbers against the source before relying on them. Do not use AI output as the sole basis for decisions about employment, pay, credit, housing or similar matters about a person.

Forecasts and benchmarks

Forecasts, budgets, goals, benchmarks, market comparisons and "what-if" figures are estimates based on assumptions and historical data. Actual results will differ, and you should not rely on them as predictions or guarantees.

Pricing and competition

The Services do not recommend or set room rates or prices, and Akea does not pool one customer's non-public pricing or occupancy data with another's. You decide your own prices independently. Market and benchmark data must be used only as your data licence allows, and never to coordinate prices with competitors.

Compliance tracking

Permit, license, insurance and document expiry reminders depend on the dates you enter. Reminders may be delayed or not delivered. You remain responsible for renewing permits, licenses and insurance on time.

Availability and data

The Services may be unavailable from time to time, and data can be lost through error or failure. Keep your own exports and backups of records you are required to keep, and keep your source documents.
